1. Introduction and Acceptance
1.1. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GIGREVO TECHNOLOGIES LTD (“GigRevo,” “we,” “us,” or “our”), a company incorporated in England and Wales, governing your access to and use of the GigRevo platform, which includes the website at www.gigrevo.com, the Telegram bot @gigrevo_bot, and all related services, features, and functionality (collectively, the “Platform”).
1.2. By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at www.gigrevo.com/privacy), and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.
1.3. We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to any modification, you must stop using the Platform and may request account deletion.

2. The Platform and Its Role
2.1. GigRevo is a technology platform that operates as an online marketplace connecting clients who wish to commission work (“Clients”) with independent professionals who provide services (“Freelancers”). The Platform facilitates the creation and management of escrow-protected payment agreements between Clients and Freelancers using blockchain technology.
2.2. GigRevo is an intermediary only. We are not a party to any agreement between Clients and Freelancers. We do not employ, supervise, direct, or control Freelancers. We do not endorse, guarantee, or warrant the quality, safety, legality, or timeliness of any services offered or delivered through the Platform. All Freelancers are independent contractors, not employees, agents, or representatives of GigRevo.
2.3. GigRevo does not provide financial, investment, legal, or tax advice. The use of cryptocurrency stablecoins on the Platform is a technology choice for payment processing efficiency and does not constitute an offer of financial products or services.
2.4. The Platform operates through two channels: the GigRevo website (www.gigrevo.com) and the GigRevo Telegram bot (@gigrevo_bot). Both channels access the same underlying escrow infrastructure and user accounts.
3. Eligibility and Account Registration
3.1. To use the Platform, you must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is higher) and have the legal capacity to enter into binding agreements.
3.2. You must provide accurate, current, and complete information during registration. You are responsible for keeping your account information up to date. Providing false or misleading information is grounds for immediate account termination.
3.3. You may register using an email address and password, a Google account, or a Telegram account. Regardless of registration method, you are responsible for maintaining the security of your login credentials. You must notify us immediately at support@gigrevo.com if you become aware of any unauthorised access to your account.
3.4. You may hold only one account on the Platform. You may operate as both a Client and a Freelancer from the same account by selecting the appropriate role.
3.5. GigRevo reserves the right to refuse registration, suspend, or terminate any account at our sole discretion, with or without cause, and with or without notice.
4. How the Escrow System Works
4.1. GigRevo’s escrow system is powered by a smart contract deployed on the Polygon blockchain (contract address: 0x53e2E6Ddb2d45bb15F2e00b13983954E9a70F069). This smart contract is the mechanism through which Client funds are held, released, and (where applicable) refunded. The smart contract code is publicly verifiable on the blockchain.
4.2. The escrow process operates as follows:
- A Client creates an escrow by defining one or more milestones, each with a payment amount and description. The Client funds the escrow by depositing the total milestone amount in a supported stablecoin (USDC or USDT on the Polygon network) into the smart contract.
- The Freelancer reviews and accepts the escrow, agreeing to the defined milestones and terms.
- Upon completing work for a milestone, the Freelancer marks that milestone as delivered.
- The Client reviews the delivery and, if satisfied, approves the release of that milestone’s payment. The smart contract then transfers the funds (minus the platform fee) to the Freelancer’s wallet address.
- This process repeats for each milestone until the project is complete.
4.3. Funds deposited into the smart contract are held by the smart contract on the Polygon blockchain, not by GigRevo. GigRevo does not have the ability to unilaterally withdraw or redirect escrowed funds outside of the dispute resolution process described in Section 7.
4.4. All escrow transactions are recorded on the Polygon blockchain and are publicly visible and immutable. Once a transaction is confirmed on the blockchain, it cannot be reversed, altered, or deleted by GigRevo or any other party.
4.5. Escrows may be created and managed through the GigRevo website (using a user-connected wallet such as MetaMask) or through the Telegram bot (using a custodial wallet managed by GigRevo on the user’s behalf, as described in Section 6).
5. Fees and Payments
5.1. GigRevo charges a flat platform fee of 2% on all escrow milestone releases. This fee is automatically deducted by the smart contract at the moment funds are released to the Freelancer. For example, on a $100 milestone, the Freelancer receives $98 and GigRevo receives $2.
5.2. No fees are charged on escrow creation, funding, cancellation, or refund. GigRevo only earns a fee when a milestone is successfully released to a Freelancer.
5.3. All payments on the Platform are denominated and transacted in stablecoins: USD Coin (USDC) or Tether (USDT) on the Polygon network. These are cryptocurrency tokens designed to maintain a value pegged to the US Dollar. GigRevo does not guarantee that these tokens will maintain their peg, and Users acknowledge the inherent risks of using cryptocurrency, including potential de-pegging events, network congestion, or smart contract vulnerabilities.
5.4. GigRevo sponsors blockchain gas fees for Freelancer actions (accepting escrows, marking delivery) through a meta-transaction relay system. Clients pay gas fees for escrow creation, funding, and milestone release, which are typically under $0.05 per transaction on the Polygon network. Gas fees are network costs paid to blockchain validators and are not collected by GigRevo.
5.5. Users are solely responsible for any tax obligations arising from their use of the Platform, including income tax, capital gains tax, VAT, or any other applicable taxes in their jurisdiction. GigRevo does not withhold taxes on behalf of Users and does not provide tax reporting documents. Users should consult a qualified tax professional regarding their obligations.
5.6. GigRevo does not currently accept or process fiat currency (traditional money) directly. Users must obtain USDC or USDT independently to fund escrows. GigRevo may introduce fiat on-ramp and off-ramp services through third-party partners in the future, which will be subject to additional terms.
6. Wallets and Custody
6.1. Website Users: When using the Platform through the website, Users connect their own cryptocurrency wallet (such as MetaMask, Coinbase Wallet, or other supported wallets via RainbowKit) to interact with the escrow smart contract. GigRevo does not have access to, store, or control the private keys of user-connected wallets. Users are solely responsible for the security of their own wallet and private keys.
6.2. Telegram Bot Users: When using the Platform through the Telegram bot (@gigrevo_bot), GigRevo creates a custodial wallet on behalf of the User. This means GigRevo generates a cryptographic key pair and stores the encrypted private key on its servers. GigRevo uses this key to sign blockchain transactions on the User’s behalf when the User issues commands through the Telegram bot.
6.3. The custodial wallet private keys are encrypted using AES-256-GCM encryption. The encryption keys are stored separately from the database in secure environment variables. While GigRevo employs industry-standard security practices, Users acknowledge that custodial key storage carries inherent security risks, including the risk of loss of funds in the event of a security breach of GigRevo’s systems.
6.4. Telegram bot Users may export their custodial wallet private key at any time to take independent control of their funds. Once exported, GigRevo strongly recommends that Users transfer their funds to a self-managed wallet and cease relying on the custodial wallet.
6.5. GigRevo is not a bank, financial institution, or regulated custodian. The custodial wallet service is provided as a convenience to lower the barrier to entry for Users unfamiliar with cryptocurrency. GigRevo does not insure deposited funds, does not guarantee against loss, and is not subject to any deposit protection scheme.
6.6. Users acknowledge that blockchain transactions are irreversible. If funds are sent to an incorrect address, lost due to a compromised private key, or affected by a smart contract vulnerability, GigRevo may not be able to recover them.
7. Automatic Releases, Cancellations, and Dispute Resolution
7.1. Automatic Cancellation: If a Freelancer does not accept a funded escrow within 7 days, the escrow may be automatically cancelled by GigRevo’s automated system, and the full amount will be refunded to the Client. No fee is charged on cancelled escrows.
7.2. Automatic Release: If a Freelancer marks a milestone as delivered and the Client does not release payment or open a dispute within 7 days, the milestone payment may be automatically released to the Freelancer by GigRevo’s automated system. This protects Freelancers from unresponsive Clients.
7.3. Disputes: If either party is dissatisfied with the outcome of a milestone, they may open a dispute through the Platform. Opening a dispute freezes the escrow — no automatic releases or cancellations will occur while a dispute is active.
7.4. When a dispute is opened, GigRevo’s support team will review evidence submitted by both parties, including project briefs, milestone descriptions, communications, and delivered work. GigRevo will make a determination and resolve the dispute by either releasing the funds to the Freelancer or refunding the funds to the Client.
7.5. Dispute resolution is currently binary: the full disputed amount is either released or refunded. Partial refunds or split payments are not supported at this time.
7.6. GigRevo’s dispute resolution decision is executed on-chain by an authorised arbiter wallet and is final and binding with respect to the disposition of escrowed funds. This dispute resolution process does not constitute arbitration under any arbitration statute and does not prevent either party from pursuing legal remedies in a court of competent jurisdiction.
7.7. Users agree to participate in the dispute resolution process in good faith, to provide truthful and complete evidence, and to accept the outcome. Abuse of the dispute system, including filing frivolous disputes, may result in account suspension or termination.
8. Escrow Amendments and Mutual Cancellation
8.1. Escrow terms (milestones, amounts, descriptions) may be amended after creation if both the Client and the Freelancer agree. Amendments are executed through a cryptographic signing process (EIP-712) that requires the explicit digital signature of both parties. No unilateral amendments are possible.
8.2. Either party may propose a mutual cancellation of an escrow at any time. Mutual cancellation requires the cryptographic consent of both the Client and the Freelancer. Upon mutual cancellation, the full escrowed amount is refunded to the Client with no fee deducted.
8.3. Unilateral cancellation by a single party is not supported. If one party wishes to cancel and the other does not agree, the dispute resolution process in Section 7 applies.
9. User Conduct and Acceptable Use
9.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform to:
- Offer, solicit, or deliver illegal services or goods in any jurisdiction.
- Engage in fraud, misrepresentation, or deception of any kind, including misrepresenting your skills, experience, identity, or the nature of your services.
- Harass, abuse, threaten, defame, or intimidate any other User or GigRevo staff.
- Engage in money laundering, terrorist financing, sanctions evasion, or any other financial crime.
- Attempt to manipulate or exploit the escrow system, including creating fake escrows, colluding to generate artificial transaction volume, or structuring transactions to evade detection.
- Attempt to circumvent the Platform’s fee structure by moving payment arrangements off the Platform after establishing contact through GigRevo.
- Upload, transmit, or distribute any content that infringes on the intellectual property rights of any third party.
- Upload or transmit viruses, malware, or any code designed to interfere with the Platform’s functionality.
- Scrape, crawl, or use automated means to extract data from the Platform without our prior written consent.
- Create multiple accounts, impersonate another person, or allow another person to use your account.
9.2. GigRevo reserves the right to investigate any suspected violation of these Terms and to take appropriate action, including suspending or terminating accounts, reporting activity to law enforcement, and cooperating with legal proceedings.
10. Intellectual Property
10.1. Platform IP: The GigRevo name, logo, website design, smart contract code, bot functionality, and all related intellectual property are owned by GIGREVO TECHNOLOGIES LTD or its licensors. You may not copy, modify, distribute, sell, or create derivative works based on any GigRevo intellectual property without our prior written consent.
10.2. Work Product: Unless otherwise agreed in writing between the Client and the Freelancer, intellectual property rights in work delivered through the Platform transfer from the Freelancer to the Client upon full payment of the relevant milestone(s). The Freelancer retains the right to display the work in their portfolio for promotional purposes, unless the Client explicitly requests confidentiality as part of the project terms.
10.3. User Content: By uploading content to the Platform (including profile information, portfolio items, project descriptions, and messages), you grant GigRevo a non-exclusive, worldwide, royalty-free licence to use, display, and reproduce that content solely for the purpose of operating and promoting the Platform. This licence terminates when you delete the content or your account.
11. Account Suspension and Termination
11.1. GigRevo may suspend or terminate your account immediately and without prior notice if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to other Users or to the Platform.
11.2. Upon account termination by GigRevo, any active escrows will be handled as follows: if work has been delivered, the dispute resolution process will apply; if no work has been delivered, escrowed funds will be refunded to the Client.
11.3. You may delete your own account at any time through the Platform’s account settings, subject to the requirement that you have no active or pending escrows. Account deletion anonymises your personal data in our database but does not remove on-chain blockchain records, which are immutable.
11.4. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law).
12. Limitation of Liability
12.1. To the maximum extent permitted by applicable law, GigRevo, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform, regardless of the theory of liability.
12.2. Without limiting the foregoing, GigRevo shall not be liable for: any loss of funds due to smart contract vulnerabilities, blockchain network failures, or cryptocurrency de-pegging events; any loss resulting from unauthorised access to your account or wallet; any loss resulting from the actions or omissions of other Users; any loss resulting from the quality, delivery, or non-delivery of Freelancer services; any loss resulting from system downtime, maintenance, or technical failures; or any loss resulting from events beyond GigRevo’s reasonable control.
12.3. GigRevo’s total aggregate liability to you for any and all claims arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount of platform fees you have paid to GigRevo in the 12 months preceding the event giving rise to the claim.
12.4. Nothing in these Terms excludes or limits GigRevo’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015 where applicable.
13. Indemnification
13.1. You agree to indemnify, defend, and hold harmless GigRevo, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; any dispute between you and another User; any content you upload or transmit through the Platform; or any tax liability arising from your earnings or payments through the Platform.
14. Disclaimers
14.1. The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14.2. GigRevo does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. GigRevo does not warrant that the smart contract is free of bugs or vulnerabilities, although it has been developed using industry-standard security practices and audited libraries.
14.3. GigRevo does not endorse, verify, or guarantee the identity, qualifications, skills, or reliability of any User. You are solely responsible for evaluating the suitability of any Freelancer or Client before entering into an escrow agreement.
14.4. GigRevo does not guarantee the value, stability, or availability of USDC, USDT, or any cryptocurrency. Cryptocurrency markets are volatile and subject to regulatory changes that may affect your ability to use, convert, or withdraw stablecoins.
15. Governing Law and Jurisdiction
15.1. These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15.2. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
15.3. If you are a consumer resident in the European Union, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence that cannot be waived by contract. Nothing in these Terms affects your statutory rights as a consumer under applicable EU or member state law.
15.4. If you are a consumer resident in the European Union, you may also use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr to attempt to resolve disputes online.
16. General Provisions
16.1. Entire Agreement: These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and GigRevo regarding your use of the Platform and supersede all prior agreements and understandings.
16.2. Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
16.3. Waiver: GigRevo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. GigRevo may assign its rights and obligations under these Terms to an affiliate or successor entity without your consent.
16.5. Force Majeure: GigRevo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, blockchain network failures, internet outages, or power failures.
16.6. Notices: GigRevo may provide notices to you via email to the address associated with your account, via in-platform notifications, or via the Telegram bot. You may contact GigRevo at support@gigrevo.com.
